1. Acceptance of Terms

By accessing or using the Qubix.Capital website ("Site") and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease using our Site and services. We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Site constitutes acceptance of any modifications.

2. Eligibility

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding agreements. You further represent that you are not located in any jurisdiction where access to or participation in our services is prohibited by law. You are solely responsible for ensuring compliance with all applicable laws in your jurisdiction.

3. No Guarantees or Warranties

THE SITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • • Any warranties regarding the accuracy, reliability, or completeness of any information
  • • Any warranties that the Site will be uninterrupted, secure, or error-free
  • • Any warranties regarding the results obtained from use of our services

4. Platform and Infrastructure Risks

Qubix.Capital provides access to third-party advertising accounts (Meta, Google, etc.) on an "AS IS" basis. We do not guarantee the longevity or stability of these accounts. You acknowledge that:

  • • Ad platforms may ban, suspend, or limit accounts at any time due to their internal algorithms or policy enforcement
  • • Qubix.Capital is not liable for any loss of data, pixels, potential revenue, or interruption of campaigns resulting from such bans
  • • Account replacements are subject to availability and are provided at our sole discretion

5. Service and Partnership Disclaimer

IMPORTANT: Submission of an application does not guarantee partnership approval. All partnership decisions are made at the sole discretion of Qubix.Capital.

  • • We make no representations or guarantees regarding partnership approval, funding amounts, or outcomes
  • • Past performance of other partners is not indicative of future results
  • • Any financial projections, estimates, or examples shown on this Site are for illustrative purposes only
  • • We reserve the right to terminate any partnership at any time for any reason

6. Payout Contingency (Back-to-Back Payments)

You explicitly acknowledge that Qubix.Capital acts as a liquidity provider and intermediary. Any profit-sharing, commissions, or payouts due to you are strictly contingent upon Qubix.Capital receiving full payment from the respective Advertiser or Affiliate Network.

  • • We are not liable for any non-payment, deductions, or delays caused by the Advertiser
  • • If an Advertiser withholds payment due to traffic quality issues ("fraud", "shave"), Qubix.Capital reserves the right to withhold your corresponding share without compensation
  • • You bear the credit risk of the Advertiser associated with your traffic

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUBIX.CAPITAL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • • Any indirect, incidental, special, consequential, punitive, or exemplary damages
  • • Loss of profits, revenue, data, goodwill, or other intangible losses
  • • Any damages resulting from unauthorized access to or alteration of your data
  • • Any damages arising from third-party conduct, products, or services
  • • Any damages exceeding the amounts paid by you to us in the twelve (12) months preceding the claim

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Qubix.Capital, its affiliates, officers, directors, employees, agents, licensors, and third-party service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Site or services; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) your violation of any applicable laws, rules, or regulations; (e) any content or data you submit or transmit through the Site; or (f) any activity related to your account.

9. Third-Party Services and Links

Our Site may contain links to third-party websites, services, or resources. We are not responsible for: (a) the availability or accuracy of such websites or resources; (b) the content, products, or services on or available from such websites or resources; or (c) the protection of your data by such third parties. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties. We do not endorse and are not responsible or liable for any third-party content, advertising, products, or services.

10. No Professional Advice

Nothing on this Site constitutes legal, financial, tax, investment, or other professional advice. All information is provided for general informational purposes only. 11. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of our services shall be resolved through binding arbitration, rather than in court. You waive any right to participate in a class action lawsuit or class-wide arbitration. Any arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qubix.Capital regarding your use of the Site and services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Paraguay, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Asunción, Paraguay for the resolution of any disputes arising out of or relating to these Terms or your use of our services.

16. Independent Contractor Status

Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between you and Qubix.Capital. Partners and applicants are independent contractors and are not employees of Qubix.Capital. You are not entitled to any employee benefits, insurance, or other compensation typically provided to employees. You are solely responsible for your own taxes, insurance, and compliance with labor laws in your jurisdiction.

17. Intellectual Property

All content, trademarks, logos, graphics, and intellectual property displayed on this Site are the exclusive property of Qubix.Capital or its licensors. You may not use, reproduce, distribute, modify, or create derivative works from any content without our prior written consent. Any data, analytics, tools, or proprietary information provided through our partnership programs remains the sole property of Qubix.Capital.

18. Confidentiality

You agree to maintain the confidentiality of any non-public information disclosed to you in connection with your application or partnership, including but not limited to business strategies, financial information, partner terms, proprietary tools, and technical infrastructure. This obligation survives the termination of any partnership or use of our services. Unauthorized disclosure may result in immediate termination and legal action.

19. Prohibited Activities

You agree NOT to engage in any of the following activities:

  • • Fraud, misleading advertising, or any deceptive practices
  • • Violation of advertising platform policies (Facebook, Google, etc.)
  • • Use of bots, fake traffic, or any form of traffic manipulation
  • • Money laundering or any illegal financial activities
  • • Any activity that violates applicable laws or regulations

Violation of these prohibitions will result in immediate termination and may be reported to relevant authorities.

20. Compliance Responsibility

You are solely responsible for ensuring that your activities comply with all applicable laws, regulations, and advertising platform policies in all jurisdictions where you operate. Qubix.Capital is not responsible for any violations committed by partners and disclaims all liability arising from your non-compliance. You agree to immediately notify us of any compliance issues or potential violations.

21. Waiver

The failure of Qubix.Capital to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Qubix.Capital. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof.

22. Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Qubix.Capital may freely assign, transfer, or delegate its rights and obligations under these Terms without restriction and without notice to you.

23. Electronic Communications

By using our Site or submitting an application, you consent to receive electronic communications from us, including emails, messages via Telegram or other messaging platforms, and notices posted on our Site. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

24. Survival

The following sections shall survive any termination or expiration of these Terms: Limitation of Liability, Indemnification, Confidentiality, Intellectual Property, Dispute Resolution and Arbitration, Governing Law, and any other provisions that by their nature should survive termination.
